Emaar, The Economic City Announces the opening of the nomination for membership of the Board of Directors for upcoming session

Emaar, The Economic City is pleased to announce the opening of the nomination for membership of the Board of Directors for upcoming session three-year starting 26/09/2017 and ending 25/09/2020. Those wishing to present their candidatures must submit a request to the Nominations & Remunerations Committee starting Monday 05/08/1438 Hijri corresponding to 01/05/2017, with final submissions being accepted on Sunday 25/08/1438 Hijri corresponding to 21/05/2017. The candidature notification must meet the conditions and controls mentioned in the Companies Law, circulars issued by the Ministry of Commerce and Investment, and the listing rules and the corporate governance regulations issued by the Capital Market Authority. The candidature request must include the following:
1. CV clarifying personal details, qualifications, and experience in the company’s business.
2. List of boards of directors for companies or establishments in which the candidate was a member, and dates of membership.
3. List of joint-stock companies where the candidate is still a member and the end date of these memberships.
4. List of companies or establishments where the candidate is a co-director or co-owner and that practice similar activities to the company.
5. The candidate must fill-in and sign Capital Market Authority Form No. 3 (form for the resume of a board member candidate) and attach it to the candidature request. The form can be obtained from the Capital Market

6. If the candidate had previously been a member of the board of Emaar, The Economic City, he/she must attach to the candidature request a statement issued by the company’s administration mentioning the last term of the
candidate’s board membership, including the following information:
a. Number of board meetings held during each year of the term years, and number of meetings attended by the member, and his/her attendance rate.
b. Standing committees in which the candidate was a member, number of meetings held by these committees during each year of the term years, the number of meetings attended by the member, and his/her attendance rate
c. Summary of financial results registered by the company during each year of the term years.
7. The candidature request must be accompanied by a clear and valid copy of the candidate’s ID, family card (if married), commercial register for companies and establishments, and contact details.
8. The general assembly, to be set at a later stage, will vote on the candidates according to the rules and regulations in force and to those approved by concerned entities.
